  • "Services" refers to business consulting services provided by Vantara, including stakeholder alignment workshops, market entry studies, and advisory partnerships
  • "Website" refers to the Vantara website accessible at vantareasa.live
  • "Engagement Agreement" refers to a separate written contract outlining specific consulting services to be provided

3. Eligibility and Capacity

You must be at least 18 years of age and possess the legal authority to enter into binding contracts to use our services or website. If you are accessing our services on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

By using our services, you represent and warrant that you meet these eligibility requirements and that all information you provide is accurate and current.

4. Description of Services

Vantara provides strategic business consulting services to organizations in Thailand and Southeast Asia. Our services include, but are not limited to:

  • Stakeholder alignment workshops and facilitation
  • Market entry feasibility studies and competitive analysis
  • Long-term advisory partnerships and strategic counsel
  • Custom consulting engagements as agreed upon in writing

Specific services, deliverables, timelines, and fees are detailed in separate Engagement Agreements signed by both parties before work commences.

5. Engagement Process and Agreements

All consulting engagements require a written Engagement Agreement that specifies:

  • Scope of work and specific deliverables
  • Timeline and key milestones
  • Fees and payment terms
  • Confidentiality provisions
  • Termination conditions

Changes to the scope of work require written approval from both parties and may result in adjustments to fees and timelines. We reserve the right to decline any engagement that does not align with our expertise or values.

6. Payment Terms and Conditions

Fees and Invoicing

Fees for services are specified in the Engagement Agreement. Unless otherwise stated, fees are quoted in Thai Baht (฿) and exclude applicable taxes. We issue invoices according to the payment schedule outlined in the Engagement Agreement.

Payment Methods

We accept payment via bank transfer to our designated Thai bank account. Payment details are provided on invoices.

Payment Terms

Payment is due within 30 days of invoice date unless otherwise specified in the Engagement Agreement. Late payments may incur interest charges at the rate of 1.5% per month or the maximum rate permitted by Thai law, whichever is lower.

Refund Policy

Fees for work completed are non-refundable. If an engagement is terminated before completion, fees will be prorated based on work performed up to the termination date, as outlined in the Engagement Agreement.

7. User Responsibilities

When engaging our services or using our website, you agree to:

  • Provide accurate, complete, and timely information necessary for service delivery
  • Respond promptly to requests for information or clarification
  • Designate appropriate internal contacts with authority to make decisions
  • Maintain confidentiality of any proprietary information shared by Vantara
  • Use our website and services only for lawful purposes
  • Not interfere with the proper functioning of our website or services
  • Not attempt to gain unauthorized access to our systems or data

8. Intellectual Property Rights

Vantara IP

All content on our website, including text, graphics, logos, methodologies, and frameworks, is owned by Vantara and protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.

Deliverables

Upon full payment, clients receive a license to use deliverables specified in the Engagement Agreement for internal business purposes. This license does not include the right to modify, redistribute, or use deliverables for commercial purposes beyond the scope agreed upon.

Client Materials

Clients retain all rights to materials and information they provide. By sharing materials with us, clients grant Vantara a limited license to use such materials solely for purposes of delivering contracted services.

9. Confidentiality

We maintain strict confidentiality regarding all client information and materials. Confidentiality provisions are detailed in individual Engagement Agreements and survive termination of the engagement indefinitely.

We will not disclose client information except as required by law or with explicit client authorization. Our confidentiality obligations extend to all team members and any third parties engaged to support service delivery.

10. Disclaimers and Limitations

Professional Advice Disclaimer

Our consulting services provide strategic advice and analysis but do not constitute legal, accounting, or financial advice. Clients should consult appropriate licensed professionals for such matters. We are not liable for decisions made based on our recommendations.

No Guarantees

We do not guarantee specific outcomes or results from our services. Strategic consulting involves inherent uncertainty, and outcomes depend on numerous factors beyond our control.

Website Availability

While we strive to maintain website availability, we do not guarantee uninterrupted access. The website is provided "as is" without warranties of any kind, express or implied.

11. Limitation of Liability

To the maximum extent permitted by Thai law, Vantara's total liability arising from or related to our services or these terms shall not exceed the total fees paid by the client for the specific engagement giving rise to the claim.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or lost data, even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for consequential damages. In such jurisdictions, our liability is limited to the extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Vantara and its employees, contractors, and affiliates from any claims, liabilities, damages, losses, and expenses arising from:

  • Your use of our website or services
  • Your violation of these terms
  • Your violation of any third-party rights
  • Inaccurate or misleading information you provide

13. Termination

Either party may terminate a consulting engagement according to the terms specified in the Engagement Agreement. Upon termination:

  • Fees for work completed up to termination date become immediately due
  • Confidentiality obligations survive termination indefinitely
  • Each party returns or destroys confidential materials belonging to the other
  • Provisions regarding intellectual property, liability, and dispute resolution survive termination

We reserve the right to suspend or terminate access to our website for violation of these terms or for any conduct we deem inappropriate.

14. Governing Law and Dispute Resolution

These terms and any separate Engagement Agreements are governed by the laws of Thailand. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of Bangkok, Thailand.

Before initiating formal legal proceedings, parties agree to attempt resolution through good-faith negotiation. If negotiation does not resolve the dispute within 30 days, either party may proceed with formal legal action.

15. General Provisions

Entire Agreement

These terms, together with any Engagement Agreement and our Privacy Policy, constitute the entire agreement between you and Vantara regarding use of our website and services.

Severability

If any provision of these terms is found invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid, or removed if modification is not possible, and the remaining provisions shall remain in full effect.

Waiver

Failure to enforce any provision of these terms does not constitute a waiver of that provision or our right to enforce it in the future.

Assignment

You may not assign or transfer your rights or obligations under these terms without our prior written consent. We may assign our rights and obligations to any successor entity.

Notices

All notices under these terms shall be in writing and delivered to the addresses specified in the Engagement Agreement or to [email protected] for general correspondence.

16. Changes to Terms

We reserve the right to modify these Terms and Conditions at any time. Changes become effective when posted on our website with an updated "Last Updated" date. Material changes will be communicated via email to active clients.

Continued use of our website or services after changes are posted constitutes acceptance of the modified terms. If you do not agree with changes, you should discontinue use of our services and website.
